Robert W. Leung is a partner in the Firm's corporate group with extensive experience in corporate matters, including cross-border transactions primarily in Latin America.
For almost 20 years, Mr. Leung has advised clients on significant matters in a wide variety of practice areas across a broad range of industries, including retail, energy, natural resources and metals and mining. These include:

Strategic Transactions
Advised Inkafarma, the largest retail pharmacy chain in Peru, in its acquisition by an affiliate of Interbank Group. Read more here.
Advised Goldman, Sachs & Co. as purchaser of the Colombian coal mining assets of Coalcorp Mining Inc. in a transaction spanning seven jurisdictions and valued at over US$200 million. Read more here and also here.
Advised Alfa Partners Limited (Alfa) and Coban Holdings, Inc. (Coban) in connection with the disposition by Alfa and Coban's joint venture partner, Royal Ahold, of its interest in Central American Retail Holding Company (CARHCO) to Wal-Mart Stores, Inc. (Wal-Mart), negotiation of shareholding arrangement between Alfa, Coban and Wal-Mart and Alfa and Coban's subsequent disposition of portions of their interests in CARHCO to Wal-Mart. In a subsequent and related transaction, advised Alfa in connection with the sale of its interest in Wal-Mart Centroamerica to Wal-Mart de Mexico in a transaction valued at US$2.7 billion. Advised EG Capital in its acquisition of Waterpik from Carlyle, including the negotiation of first and second lien secured credit facilities in order to finance the acquisition. Read more here.
Advised a Goldman Sachs entity in connection with its private equity investments in iCrossing. Inc. In a subsequent and related transaction, advised in connection with the merger of iCrossing with Hearst and the exit by the Goldman Sachs entity from its investment in iCrossing. Read more here.
Corporate Finance
Advised Compañía Minera Antamina S.A. (Antamina), owner and operator of one of the world's largest copper/zinc mines in Peru, in its refinancing of its US$1.32 billion project financing. The refinancing took the form of a US$411 million credit facility. In a subsequent and related transaction, advised Antamina in a US$100 million unsecured revolving credit facility. Read more here.
Advised Yankees Entertainment and Sports Networks, LLC (YES) in connection with its secured revolving credit facility. In a subsequent transaction, advised YES in connection with the issuance of subordinated notes.
Advised EG Capital in connection with an approximately $193 million leveraged recapitalization, via a senior secured first lien loan, of Waterpik in anticipation of its eventual disposition.
Advised a private investment fund in connection with a loan to the leading international manufacturer of technically sophisticated micro acoustic products.
Project and Structured Finance
Advised Caithness Long Island, LLC in connection with a project financing for the Greenfield development of a power plant, including negotiation of the EPC contract and the PPA.
Advised Wynn Las Vegas, LLC, as borrower, in connection with US$1.125 billion senior secured credit facility to finance the construction of a hotel and casino in Las Vegas.
Advised sponsor of a Colombian power plant in the renegotiation of its project financing as a result of a force majeure event.
Advised PDVSA, Total and Statoil in structuring US$4.6 billion joint venture to build and finance the Sincor extra heavy oil project in Venezuela. The financing included a US$1.2 billion senior secured syndicated loan facility and a US$1.5 billion sponsor senior loan facility.
Private Equity
Advised a private investment fund in connection with its equity and debt investments in HydroChile S.A., a company involved in the development and operation of hydro-electric power generation projects in Chile.
Advised Enfoca SAFI both on the formation of a private equity fund, co-investment fund and real estate fund as well as on various fund investments.
Advised various private investment funds from Goldman Sachs, DiMaio Ahmad Capital and Discovery Capital in connection with their investments in Companhia Nacional de Açucar e Álcool, a major Brazilian ethanol feedstock and sugar producer.
Advised various private investment funds from Discovery Capital in connection with their investments in Asealpha Properties, a commercial real estate developer and operator in the Ukraine.
Professional and Community involvement
Mr. Leung is also actively engaged in national and local bar associations as well as in his community, and is involved with a number of not-for-profit organizations. He has served on the Board of Directors of the Asian American Bar Association of New York (AABANY) from 2006 to present, and served as President of the AABANY from 2010 to 2011.
He is also a frequent panelist and commentator on international legal and financial matters.
