Mr. Liu has represented clients in a broad range of corporate matters. He represents private investment funds, including private equity and hedge funds, and their sponsors and investment advisors in their fund formation, compliance and transactional work. In the corporate finance area, his work includes SEC registered initial and secondary public offerings, Rule 144A/Regulation S placements, privatizations, private placements, investment grade and high-yield debt and equity-linked debt instruments. Mr. Liu's experience includes advising issuers and underwriters on federal securities law issues. In the mergers and acquisitions area, Mr. Liu's work includes buy-side and sell-side representation and competitive and non-competitive processes. Mr. Liu has extensive experience in cross-border transactions, having advised clients on both corporate financing transactions by foreign issuers and significant cross-border merger and acquisition and foreign direct investment transactions.
Prior to joining the firm in July 2003, Mr. Liu was associated with Sullivan & Cromwell (1995-2000; 2001-2003). From 2000 to 2001, he was an Executive Director in the high-technology group, investment banking department of Goldman Sachs.
