Robert Lia is counsel in the Firm's corporate department where he specializes in the area of executive compensation and employee benefits. 

Mr. Lia represents companies and executives with respect to all facets of designing, drafting and negotiating executive compensation arrangements including employment, consulting, severance, non-compete/non-solicitation and change in control agreements.  He also represents private equity funds and privately and publicly-held companies in the design and drafting of equity-based and other incentive compensation arrangements.  He regularly designs stock option, restricted stock, deferred compensation and various other types of incentive compensation plans and arrangements and advises clients with respect to tax, securities and corporate law issues relating to such plans. 

In addition, Mr. Lia represents numerous clients with respect to benefits issues in corporate mergers and acquisitions, spin-offs, and other corporate transactions and counsels clients regarding ERISA plan investments and fiduciary responsibilities.

Mr. Lia was previously a founding member of the New York law firm of Holladay, Lia & Mukamal, LLP, and tax associate in the New York City offices of Latham & Watkins, LLP and Fried, Frank, Harris, Shriver & Jacobson, LLP.  He was formerly a practicing Certified Public Accountant with Ernst & Young LLP and KPMG.
