Investigations / Corporate Governance
Boies, Schiller & Flexner conducts skilled and sensitive investigations on behalf of management, corporate boards of directors and special board or management committees and has extensive experience managing timely internal investigations for various business entities in a broad range of industries.
An important part of our corporate governance practice is regular counsel about instituting effective corporate reform programs in our clients' companies and helping them handle situations in which former officers and directors have been accused of wrongdoing. The Firm capably guides clients through extensive state and federal criminal investigations and investigations conducted by the Department of Justice, the Securities and Exchange Commission, the Federal Trade Commission, and other federal and state government regulatory agencies. Because the Firm's attorneys include a number of former federal and state prosecutors and two former United States Attorneys, we have the advantage of understanding both sides in the complicated process of an investigation.
Representative examples of our practice include the conducting of extensive corporate management and accounting fraud investigations on behalf of Qwest Communications International Inc. and Tyco International as well as internal investigations on behalf of the non-executive members of the Board of Directors of RenaissanceRe Holdings, Ltd. The Firm is defending Maurice R. Hank Greenberg, former Chairman and Chief Executive Officer of the American International Group, Inc., in connection with the ongoing state, federal and foreign regulatory investigations concerning accounting and related securities matters in the insurance and reinsurance industries. Currently, we represent clients in connection with several grand jury investigations.
