Investigations / Corporate Governance

Boies, Schiller & Flexner LLP conducts skilled and sensitive investigations on behalf of management, corporate boards of directors and special board or management committees and has extensive experience managing timely internal investigations for various business entities in a broad range of industries.

We regularly counsel clients about effective corporate reform programs and help them handle situations in which former officers and directors have been accused of wrongdoing.  The Firm capably guides clients through extensive state and federal criminal and civil investigations conducted by the Department of Justice, the Securities and Exchange Commission, the Federal Trade Commission, and other federal and state government regulatory agencies. Because the Firm's attorneys include a number of former federal and state prosecutors, a former Assistant Attorney General of the U.S. Department of Justice, Criminal Division and a former Regional Director of the Securities and Exchange Commission (SEC), we have the advantage of understanding both sides in the complicated process of an investigation.

Representative examples of our practice include extensive corporate management and accounting fraud investigations on behalf of Qwest Communications International Inc. and Tyco International, internal investigations on behalf of the non-executive members of the Board of Directors of RenaissanceRe Holdings, Ltd., and internal investigations for Fortune 100 and 200 companies.  The Firm defended Maurice R. Hank Greenberg, former Chairman and Chief Executive Officer of the American International Group, Inc., in connection with the state, federal and foreign regulatory investigations concerning accounting and related securities matters in the insurance and reinsurance industries. Among these successes: the Firm won a $4.3 billion jury trial for Mr. Greenberg and his company, Starr International, and won a judgment on Starr's claims against AIG for the return of valuable artwork owned by Starr that was previously displayed in AIG buildings. We are also currently representing clients in connection with several antitrust and securities grand jury investigations.
