Delaware Chancellor Andre G. Bouchard approved a stipulation removing five Viacom directors from a shareholder lawsuit against Viacom directors, based on a motion by Boies Schiller Flexner that the actions alleged to have been breaches of their fiduciary duties took place either before the five were nominated to Viacom's board or before their appointments became effective, Law360 writes.
